In-House Legal Counsel
Tallinn (Hybrid, 2-3 office days)
We are looking for an In-House Legal Counsel to join our Tallinn based client. This is a hybrid role with few days/week in the office is required.
As an In-House Legal Counsel you will be comprehensively responsible for commercial and employment law related matters as well as supporting on other related parties and internal legal activities at clients Estonian entity. In-House Legal Counsel will have common responsibility together with the Legal Lead in implementing legal processes as well as policies and delivering legal trainings within the company. Also, In-House Legal Counsel will be closely working together with function leads, other internal stakeholders and international affiliates.
Responsibilities:
- Drafting, reviewing and revising different types of commercial contracts, including services agreements, different types of contracts involving IT law and financing transactions, driving contract negotiations and defense, archival of all contractual documentation within the responsibility area.
- Drafting, reviewing and revising different types of employment contracts and related documents.
- Privacy and personal data processing.
- Corporate law specific documentation for our clients Estonian entity and legal support in adoption of shareholders resolutions for subsidiaries.
- Providing regulatory and general commercial law advice in a wide range of areas, including business development, employment, privacy, dispute resolution and industry-specific regulation.
- Driving a variety of strategic projects and collaborations in the relevant areas of legal practice.
- Developing and implementing the legal strategy and contributing to the development of the organization’s business strategy.
- Implementation of rules and processes within the specific responsibility area.
- Reporting in fixed intervals or in response to specific events related to changes in the legal environment/ Group’s internal rules that could have substantial consequences to the company within the responsibility area.
- Anticipating and maintaining up-to-date knowledge of current laws relevant to own substantive area to provide strategic advice and foster compliance.
- Delivering internal legal trainings.
Requirements:
- Masters’ Degree in Law
- Prior experience and knowledge in the fields of commercial law, employment law and privacy
- Prior experience and knowledge in the fields of corporate law and/or financial transactions and/or intellectual property law and digital/software industry is of advantage
- Strong analytical skills, excellent legal research and drafting skills
- Excellent communication, intercultural and language skills
- Fluent in spoken and written English
- Professional knowledge of MS Word, Outlook, PowerPoint.
