Legal Counsel
Tallinn, Estonia (Hybrid)
We are looking for an experienced Legal Counsel to join our clients team in Tallinn, Estonia.
In this role you will provide strategic legal support across all corporate legal matters, investment services legislation, and the development of our clients investment platform, as well as liaising with external legal advisers worldwide.

Our client is a leading investment firm, licensed by the Estonian Financial Supervision and Resolution Authority (EFSRA) , the UK Financial Conduct Authority (FCA) and the Monetary Authority of Singapore (MAS). The firm specialises in private securities placement, custody, and corporate transactions.
Responsibilities:
- A full range of corporate and commercial legal transactional advice to our clients growing and cross-border private equity fundraising and trading platform business.
- Consideration of key legal and regulatory issues affecting the business, including jurisdiction-specific corporate matters, and perimeter licensing and regulatory matters, in Estonia, across the EEA and globally;
- Drafting and negotiating commercial contracts, from standard client and platform agreements to complex multi-jurisdictional investment agreements
- Review private company governing documents/ shareholders agreements, and consider company specific procedural matters such as corporate actions/ voting procedures/ share purchase agreements
- Liaising with external counsel including legal opinion review in relevant jurisdictions to identify and resolve jurisdiction-specific legal issues and build solutions for structuring/markets/ new products and apply to governance framework and client service documentation
- Undertaking a broad variety of corporate legal work relating to the business, including on corporate actions, employment, safeguarding IP, data protection
- Corporate secretarial matters for diverse entities including board meetings/ minutes and appropriate filings
- Supporting the Board and every team across the business and providing effective, timely and reliable advice on legal issues and risks, including assistance with responding to clients queries
- Keeping up-to-date with current and future changes in the legal environment that affect the firm’s business and informing relevant teams of the same
- Maintain and contribute to internal knowledge capture and related trackers

- Addressing any tasks and responsibilities assigned by the Management team.
Requirements:
- 2+PQE Estonian qualified Lawyer
- Corporate/ M&A experience
- Financial services and/ or investment sector experience
- Efficient and effective with strong attention to detail

- Excellent level of English language both written and spoken

Desirable experience:
- In-house experience
- Knowledge of UK/ EU financial services laws and regulations/ regulated entity
- Familiarity with FinTech (equity funding sector)
